WALL ST PARES GAINS, NASDAQ TURNS NEGATIVE

U.S. stocks pared gains, with the Nasdaq turning negative on Monday as Federal Reserve Chairman Ben Bernanke delivered a broad defense of the central bank's controversial bond-buying stimulus plan.

The Dow Jones industrial average gained 99.22 points, or 0.74 percent, the Standard & Poor's 500 Index added 5.57 points, or 0.39 percent and the Nasdaq Composite Index

dropped 3.46 points, or 0.11 percent.

** CERADYNE INC , $34.92, up 42.9 pct (1325 ET) ** 3M , $93.51, up 1.17 pct (1325 ET)

3M said it will acquire the ceramic component maker for about $847 million. The offer of $35 per share represents a premium of about 43 percent to Ceradyne's Friday closing.

** FONAR CORP , $5.04, up 34.13 pct (1325 ET)

The medical imaging equipment maker's full-year net income nearly doubled to $5.4 million, or 91 cents per share, from a net income of $2.9 million, or 55 cents per share, a year earlier. Total revenue increased by 19 percent.

** GORDMANS STORES INC , $14.00, down 24.11 pct (1326 ET)

The discount retailer could miss analysts' profit estimates for the first time since it went public in 2010 as slowing sales forced the company to cut its current-quarter outlook.

** SPLUNK INC , $34.76, down 5.31 pct (1320 ET)

Hedge fund manager Zack Buckley made the case against the recently public data analytics company.

Buckley, who said he is shorting Splunk shares, told the 8th Annual Value Investing Congress that Splunk has an "undifferentiated product," faces a potential pricing war and is seeing heavy selling from insiders.

** VERSANT CORP , $11.33, up 15.02 pct (1327 ET)

The data management software company said it agreed to be acquired by Unicom Systems Inc for $32 million.

** SYNTA PHARMACEUTICALS CORP , $8.90, up 16.79 pct (1327 ET)

The drugmaker said interim results from a mid-stage study of its experimental cancer drug with a larger patient population showed positive results.

** MONEYGRAM INTERNATIONAL INC , $16.50, up 10.44 pct (1053 ET)

The payment services company announced a three year extension to its money transfer agreement with Walmart commencing April 1, 2013.

** S&W SEED CO , $6.65, up 9.37 pct (1327 ET)

The company which sells seed to agribusiness firms and farmers worldwide, acquired Imperial Valley Seeds in a deal worth $6 million. The company has agreed to pay $3 million in cash, a $500,000 five-year note and 400,000 shares of S&W common stock.

** GOLDMAN SACHS GROUP INC , $117.01, up 2.99 pct (1328 ET)

The stock could rise at least 25 percent in the next year as capital markets improve, Barron's said on Sunday.

** FACEBOOK INC , $21.97, up 1.45 pct (1328 ET)

The company, stung by doubts that advertising on the social network delivers enough bang for the buck, is preparing to unveil data to counter its critics and show that "clicks," the current metric of choice, tell only half the story.

** JAKKS PACIFIC INC , $13.72, down 5.8 pct ((1328 ET)

The maker of Pokemon and Hello Kitty toys cut its current-quarter outlook, in turn leading to analysts cutting their price targets on the stock.

** TRANSOCEAN LTD , $46.79, down 4.2 pct (1328 ET)

A Brazilian court has overturned an injunction to suspend offshore drilling by the contractor, accepting that it could have caused billions of dollars in lost revenue for the government and the state-led oil firm Petrobras .

** BAIDU INC , $112.38, down 3.85 pct (1329 ET)

Jefferies & Co cut its rating on the Chinese search engine company's stock to "hold" from "buy" citing rival Qihoo 360 Technology Co's increasing share in the search space.

The brokerage said it expects Baidu's fourth-quarter revenue and profit below Street estimates as the company's cost to drive traffic to its website increases.

** MGIC INVESTMENT CORP , $4.20, down 1.86 pct (1329 ET)

The company said mortgage financier Freddie Mac has reduced the capital the mortgage insurer will need to add to its main unit, MGIC, in order to continue writing insurance throughout the United States.

** GENERAC HOLDINGS INC , $24.70, up 7.86 pct (1331 ET)

The generator maker raised its 2012 sales outlook for the third time this year, citing increased demand for its residential products in light of recent major power outages.

** AVANIR PHARMACEUTICALS INC , $3.47, up 8.43 pct (1331 ET)

Cowen and Co started coverage of the biotechnology company with an "outperform" rating citing the successful launch of its lead drug Nuedexta - the first therapy approved by U.S. health regulators to treat a central nervous system condition called Pseudobulbar Affect characterized by involuntary laughing, crying or emotional outbursts.

** TRW AUTOMOTIVE HOLDINGS CORP , $46.70, up 6.84 pct (1332 ET)

The automotive parts supplier said it will buy back shares worth up to $1 billion over the next two years.

** CARMIKE CINEMAS INC , $12.14, up 7.62 pct (1332 ET)

The movie exhibitor has agreed to buy 16 state-of-the-art theatres with 251 screens from Rave Reviews Cinemas LLC for 19 million in cash and $100.4 million in liabilities.

** NEW ORIENTAL EDUCATION & TECHNOLOGY GROUP INC , $17.18, up 3.05 pct (1332 ET)

The Chinese educational services provider said it had completed a review of allegations that its accounts were fraudulent and found "no significant evidence" that they were true.

New Oriental's shares crashed 33 percent in July, after short seller Muddy Waters alleged that the Chinese educational services provider's accounts were fraudulent.

** SERVICENOW INC , $35.29, down 8.35 pct (1339 ET)

UBS Investment Research cut its rating on the cloud computing firm to "sell" from "neutral," but maintained its price target of $38.68.

** NOKIA OYJ , $2.73, up 6.2 pct (1332 ET) The Finnish phone maker has agreed to give Oracle Corp's

customers access to its mapping products, as the mobile phone company seeks to expand its location services business.

** CALLAWAY GOLF CO , $6.46, up 5.21 pct (1332 ET))

Raymond James upgraded the golf equipment-maker to "strong buy" from "market perform" anticipating a return to profitability in 2013 following the arrival of a new management team and a revamped product line-up.

** TW TELECOM INC , $27.30, up 4.65 pct (1332 ET) ** CENTURYLINK INC , $39.54, down 2.12 pct (1332 ET))

The telecommunications company is in talks with CenturyLink for a possible sale, Denver Post cited M&A publication dealReporter as saying on Saturday.

The companies could be nearing a deal following several weeks of discussion, dealReporter reported citing sources.

** CAL-MAINE FOODS INC , $45.01, up 0.15 pct (1336 ET)

The egg supplier reported improved quarterly results, helped by higher selling prices that mitigated the impact from increased feed costs.

** ZAGG INC , $8.88, up 3.9 pct (1336 ET)

J.P. Morgan Securities initiated coverage on the mobile accessories maker's stock with an "overweight" rating, saying it expects the company to post strong growth over the next two years, helped by sales of its products associated with a growing smartphones and tablets market.

The brokerage said Zagg has consistently been the first-to-market with accessories for Apple Inc's major products, and could benefit from the iPhone 5 and iPad Mini.

** U.S. SILICA HOLDINGS INC , $14.10, up 3.98 pct (1336 ET)

The commercial silica maker named Donald Merril chief financial officer, replacing William White who will retire on Dec. 31.

** SUNSHINE HEART INC , $8.76, up 5.03 pct (1336 ET)

The company said it received conditional approval from the U.S. health regulator for its C-Pulse Heart Assist device, which prevents heart failure.

** MOLSON COORS BREWING CO , $43.21, down 4.08 pct (1337 ET)

The company said that it was combining its businesses in Britain and Ireland with those in Central Europe, and it promoted Mark Hunter to run the new operation.

** Mercury Computer Systems Inc , $9.90, down 6.77pct (1338 ET)

Jefferies & Co downgraded the company to hold from buy, citing contract delays and an uncertain defense spending environment. It also cut its price target on the stock to $12 from $16.
