(the "Company") (NYSE:TOL), announced today that it has priced a public offering (the "Offering") of 6,250,000 shares of its common stock, par value $0.01 per share, at a price to the public of $32.00 per share. The Company has granted the underwriters a 30-day option to purchase up to an additional 937,500 shares from the Company. The Offering is expected to close on or about November 14, 2013, subject to customary closing conditions.
The Company expects to use the net proceeds from the Offering to finance in part its proposed acquisition of Shapell Industries, Inc. ("Shapell").
