(Nasdaq: DSKX), a developer of personal care products, today announced that it entered and consummated a securities purchase agreement with an accredited investor for the sale of 1,512,500 shares of the Company's common stock, with gross proceeds of $2,420,0000. Ladenburg Thalmann & Co. Inc., a subsidiary of Ladenburg Thalmann Financial Services Inc. (NYSE MKT:LTS), acted as the placement agent in connection with the offering.
The securities purchase agreement contains customary representations and warranties and covenants of the Company. The Company intends to use the net proceeds from the sale of the shares for working capital purposes.
The shares were offered and sold solely to accredited investors on a private placement basis.
