RHJ International: Transparency Declaration Notification/Share Capital and Voting Rights

On 2 April 2014, RHJ International ("RHJI") received from Deutsche Bank AG and its wholly-owned subsidiary DB Value Sàrl a notification that the aggregate amount of RHJI shares held by DB Value Sàrl exceeded the threshold of 5% of the total outstanding shares issued by RHJI.

On 26 March 2014, RHJI allocated to DB Value Sàrl 5,500,198 newly issued shares, representing ex post 6.04% of RHJI's total issued shares, in exchange for DB Value Sàrl's contribution to RHJI's share capital of a stake of 9% in BHF-BANK AG.

Share Capital and Voting Rights (Article 15 of the law of 2 May 2007)

As a result of the capital increase mentioned above, RHJI's share capital amounts to EUR 506,527,130 and is entirely represented by 91,045,745 ordinary shares each carrying 1 voting right for a total amount of 91,045,745 voting rights.
