ICAHN: WELL, YOU KNOW THERE ARE A LOT OF PROBLEMS, I THINK, IN OUR ECONOMY TODAY THAT WORRY ME. AND ACTUALLY, I THINK WORRY WARREN BUFFETT AND CHARLIE MUNGER. I WAS READING – I DIDN'T GO TO THE CONFERENCE, OR THEIR ANNUAL MEETING, BUT I THINK WARREN MAKES SOME GREAT POINTS ABOUT THE FACT THAT WE MAY HAVE ANOTHER MAJOR DISTURBANCE BECAUSE OF DERIVATIVES. AND THE THING THAT TURNS THIS ECONOMY AROUND – OR CAN TURN IT AROUND AND CAN SAVE IT IS NOT NECESSARILY THE FED, BUT IT'S WHAT I THINK – AT THE RISK OF BEING ADMONISHED BY APPROVAL WITHOUT DOUBT, THAT IF YOU GO INTO THESE COMPANIES – AND WE GO IN LONG TERM, NOT SHORT TERM – AND GET INVOLVED IN CORPORATE GOVERNANCE – AND NOT MICROMANAGE BUT LOOK AT THE BIG PICTURE. BUT MAKE CEOS ACCOUNTABLE. GET THEM OFF THE GOLF COURSE IF THEY ARE ON THE GOLF COURSE TOO MUCH. AND LET ME MAKE IT VERY CLEAR, THERE ARE VERY GOOD CEOS. THERE ARE VERY GOOD BOARDS. BUT IF WE CAN DO THAT AND CALL THEM TO THE CARPET LIKE YOU DO IN A PRIVATE BUSINESS, YOU'RE GOING TO DO TREMENDOUS GOOD FOR YOUR ECONOMY. YOU'RE GOING TO MAKE YOUR COMPANIES MUCH MORE PRODUCTIVE. OVER THE LAST 13 YEARS WE HAVE PROVED THAT OVER AND OVER AND OVER AGAIN. BUT YOU CAN'T LOOK AT THESE COMPANIES AS A FRATERNITY. AND YOU KNOW, I LISTENED TO BUFFETT THIS MORNING A LITTLE BIT AND IT'S AMAZING THAT WE SORT OF BOTH AGREE IN ONE OR TWO THINGS WHERE WARREN SAID THAT, YOU KNOW, I DON'T WANT TO STATE THE WORDS BECAUSE I DON'T HAVE THEM WRITTEN DOWN, BUT BASICALLY, THE BOARD IS SORT OF COLLEGIAL AND SORT OF A SOCIAL THING. AND IT WOULDN'T BE GOOD TO FIGHT COCA-COLA BECAUSE YOU DON'T WANT TO SHOW – YOU DON'T WANT TO DISAGREE, YOU DON'T WANT TO SAY NO. AND TO ME, THAT IS COMPLETELY WRONG. THAT IS NOT WHAT A DEMOCRACY IS ABOUT. IT WOULD BE LIKE SAYING IN CONGRESS, YOU KNOW, WE SHOULDN'T SAY ONE THING, YOU KNOW, BUT DISAGREE.

BUFFETT VOICED HIS DISPLEASURE OVER THE EXECUTIVE COMPENSATION PLAN. SO WHAT IS THE PROBLEM WITH DOING THINGS IN PRIVATE RATHER THAN IN PUBLIC IF YOU ARE GOING TO GET THE RESULT YOU ULTIMATELY YOU WANT ANYWAY?
ICAHN: WELL, YOU DON'T GET THAT RESULT ON BOARDS IF YOU DO IT IN PRIVATE. I DON'T SEE COCA-COLA CHANGING THEIR PACKAGE. AND I DON'T THINK IT'S BEEN EFFECTIVE. INTERESTING WARREN SAID, ROSS SORKIN MENTIONED IT ON TV THIS MORNING, SOMETHING ABOUT THAT THE ONLY WAY TO FIGHT THESE GUYS IS TO EMBARRASS THEM AND BUFFETT SAID THAT IN '09. WE SORT OF AGREE ON THAT. WHAT I'M COMPLAINING ABOUT IS THAT IT SHOULD NOT BE COMING FROM BUFFETT, THEY JUST DON'T STAND UP TO THESE GUYS. I WOULD ALSO SAY THAT I DON'T AGREE WITH – YOU KNOW I REALLY LIKE KERNEN AND I THOUGHT ROSS SORKIN WAS RIGHT ON TO MENTION WHAT HE DID TODAY – BUT YOU KNOW, WE ARE NOT A DISTURBANCE ON THESE BOARDS. YOU KNOW, I CERTAINLY, SHALL WE SAY, DON'T SEEK LOVE FROM A LOT OF PEOPLE. I CAN UNDERSTAND HIM SAYING THAT AND I MAYBE I DO HAVE A FIGHTING GENE. OUR CEOS, WITH MANY EXCEPTIONS, AREN'T THE RIGHT GUYS TO RUN THESE COMPANIES. YOU MUST STAND UP TO THEM. AND THE INTERESTING THING IS THAT WE GET INVITED BACK WHEN WE DO IT. SO WE HAVE A DIFFERENCE, PERHAPS, IN WHAT YOU SHOULD DO ON THE BOARDS, BUT BEING THAT SAID IT IS SORT OF INTERESTING BECAUSE WARREN SAID IN '09 OR SOMETHING LIKE THAT YOU HAVE TO BE EFFECTIVE, YOU HAVE TO REALLY – I WROTE THE WORDS DOWN – YOU HAVE TO EMBARRASS THESE GUYS. ALTHOUGH I AM SURE HIS FUND DID QUITE WELL IN THIS MARKET SO I WOULD CHALLENGE THAT BUT I TAKE BUT YOU KNOW IT IS NOT JEFF UBBEN I SORT OF LIKE THE GUY WHAT I AM SAYING IS THAT WE HAVE THE WRONG APPROACH HERE THE LITTLE GUY SHOULD BE ALLOWED TO BE IN THE MARKET. HE SHOULD BE ALLOWED TO FOLLOW GOOD INVESTORS WITHOUT HAVING TO PAY A FORTUNE NECESSARILY ALTHOUGH I AM NOT AGAINST THERE ARE SOME VERY GOOD ACTIVIST INVESTORS I MEAN WARREN BUFFETT AND CHARLIE MUNGER I ALSO RESPECT A GREAT DEAL MENTION SHORT TERMISM YES THERE ARE ACTIVIST FUNDS THAT TAKE ADVANTAGE OF IT AND ARE SHORT TERMISTS. BUT DON'T THROW THE BABY OUT WITH THE BATH WATER. SO I WOULD SAY THAT THERE MAY BE SOME NEWS FROM ME ON THAT SCORE SCOTT IN THE FUTURE.
