("Chiquita") confirms that as of August 25, 2014 its issued share capital comprised 47,048,211 common shares, par value $0.01 per share (the "Common Shares"). This follows the issue of 80,312 Common Shares (net of any shares withheld for taxes) upon the vesting, in the ordinary course, of restricted stock units held by officers and employees of Chiquita. Of these shares 2,202 shares were sold on behalf of certain officers to provide, on an estimated basis, the cash necessary to pay any remaining taxes owed as a result of the units vesting. Such sales were effected pursuant to arrangements (i.e., Rule 10b5-1 plans under US law) previously put in place by such officers for such purpose.
