Moses & Singer LLP Attorney Jim Alterbaum Advises Dealmakers in the Food & Beverage Industry on Negotiating Strategies

NEW YORK, N.Y., Sept. 17, 2014 (GLOBE NEWSWIRE) -- Moses & Singer LLP attorney James Alterbaum, a senior Corporate partner, addressed a group of executives at a seminar entitled, "Food & Beverage Marketing: Significant Issues in 2014 and Beyond" on September 16, 2014. Sponsored by the Knowledge Group LLC, the seminar focused on regulatory requirements, potential litigation landmines and planning considerations for major liquidity events, mergers and acquisitions unique to the food industry.

"In the past year, we have seen substantial M &A activity in the F &B industry, with particular interest in organics, specialty items and foods with health-related benefits. Strategic buyers are coming forward with increased valuations for innovative companies," noted Jim. "Those businesses with distinctive promises and strong brand recognition on social media may now be in a stronger position to find opportunities."

Jim's session covered the overall M &A process, including the differences between strategic vs. financial buyers, the valuation process and interaction with investors. He further covered personal planning for business owners and principals.

Protecting the food brand and establishing security for intellectual property comprised a main part of the presentation. "In the food business, a brand's essential value rests on ingredients, recipes and preparation techniques. However, the need for trade secrecy may conflict with FDA required disclosures. Smart dealmakers need to concentrate on trademark protection and confidentiality agreements before embarking on a transaction."

Jim further discussed the importance of maintaining continuity in supply and distribution agreements, licensee agreements and most importantly agreements with key employees. "As a sales business, food companies need to take a careful look at non-compete and non-disclosure requirements, and plan against raiding of employees by competitors."

Other speakers at the program discussed the ins-and-outs of labelling requirements and well as the latest updates in regulatory initiatives, both domestically and in Canada.

Food and beverage executives, media and advertising professionals, and related attorneys can obtain a complete recording of the session and printed materials on The Knowledge Group website. The session is CLE-accredited.
