(Nasdaq:HIIQ) ("HII" or the "Company") today announced that it has filed a Form 12b-25 Notification of Late Filing with the Securities and Exchange Commission related to the filing of its Quarterly Report on Form 10-Q for the quarter ended September 30, 2014, as the Company has determined it needs additional time to conclude on the appropriate accounting treatment of a net tax benefit that the Company is required to share under a Tax Receivable Agreement. The Company will file the Form 10-Q on or before Wednesday, November 19, 2014.
As disclosed in the press release issued by the Company on November 10, 2014, the Company's revenues for the quarter ended September 30, 2014 were $23.4 million. The Company's net income for the third quarter of 2014 will depend on the determination of the appropriate accounting treatment of a net tax benefit that the Company is required to share under the Tax Receivable Agreement. In the press release issued on November 10, 2014, the Company disclosed an expense payable pursuant to the Tax Receivable Agreement of $10.4 million.
