Platform Specialty Products Corporation Files Amendment to Form S-3 Resale Shelf Registration Statement

MIAMI, Feb. 12, 2015 (GLOBE NEWSWIRE) -- Platform Specialty Products Corporation (NYSE:PAH) ("Platform") has filed today an amendment to its resale shelf registration statement on Form S-3, initially filed with the Securities and Exchange Commission (the "SEC") on February 2, 2015 (the "Registration Statement"). The filing of the Registration Statement does not correspond to any stockholder's request to sell.

The Registration Statement was filed to satisfy Platform's obligations under a registration rights agreement entered into on November 7, 2013 with funds managed by Pershing Square Capital Management, L.P. ("Pershing Square") pursuant to which Platform agreed to file a registration statement for Pershing Square promptly after Platform became eligible to file a registration statement on Form S-3. Platform became Form S-3 eligible on January 23, 2015. When effective, the Registration Statement will also convert Platform's existing resale registration statements on Form S-1, initially filed with the SEC on May 23, 2014 and on November 3, 2014, into a registration statement on Form S-3.

A registration statement relating to these securities has been filed with the SEC but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the Registration Statement becomes effective. This press release is not intended to be and shall not constitute an offer to sell, or the solicitation of an offer to buy, nor shall there be any sale of the securities in any jurisdiction in which such offer, solicitation, or sale would be unlawful. When effective, the prospectus contained in the Registration Statement may be obtained online at or, upon request, from Platform at 245 Freight Street, Waterbury, CT 06702, Attn: Investor Relations.
