(Nasdaq:ZSPH), a biopharmaceutical company focused on the development and commercialization of highly selective, non-absorbed drugs to treat renal, cardiovascular, liver and metabolic disorders, today announced the upsizing and pricing of its underwritten public offering. The size of the offering has been increased from the previously announced 3,300,000 shares of common stock to 4,015,939 shares of common stock. The shares are being offered to the public at a price of $46.25 per share, resulting in aggregate proceeds to the Company of $185.7 million before underwriting discounts and expenses. In addition, a single selling stockholder, Alta Partners VIII, L.P., has granted the underwriters a 30-day option to purchase up to 602,390 additional shares of the Company's common stock at the public offering price, less underwriting discounts and commissions. The offering is expected to close on March 30, 2015, subject to customary closing conditions.
J.P. Morgan Securities LLC and Credit Suisse Securities (USA) LLC are acting as joint book- running managers for the offering. BMO Capital Markets Corp. is acting as lead manager and William Blair & Company, L.L.C. and LifeSci Capital LLC are acting as co-managers.
The Company currently expects to use the net proceeds from the offering to complete its ongoing long-term safety trial, ZS005; complete its ongoing long-term extension study, ZS004e; fund continuing scale-up of its active pharmaceutical ingredient, or API, manufacturing capacity; fund build-up of product inventory and launch quantities of ZS-9; and build a sales and marketing organization, including a sales force, to support commercial sales of ZS-9 in the United States, if approved.
