Egan-Jones Joins ISS and Glass Lewis in Recommending that Shareholders Vote the BLUE Proxy Card FOR ALL Four FISI Director Nominees
FISI Urges Shareholders to Vote the BLUE Proxy Card Today!
WARSAW, N.Y., May 31, 2016 (GLOBE NEWSWIRE) -- Financial Institutions, Inc. (Nasdaq:FISI), the parent company of Five Star Bank, Scott Danahy Naylon and Courier Capital, today announced that Egan-Jones (“Egan-Jones”), a leading independent proxy advisory firm, has issued a report recommending that Financial Institutions shareholders vote on the BLUE proxy card FOR ALL four of the Company’s director nominees - Martin Birmingham, Samuel Gullo, Kim VanGelder and James Wyckoff - at the 2016 Annual Meeting of Shareholders to be held on June 3, 2016. Egan-Jones’ clients include institutional investors, mutual funds, pension funds and other fiduciaries. The Egan-Jones recommendation follows the recommendations issued by Institutional Shareholder Services (“ISS”) and Glass Lewis & Co., LLC (“Glass Lewis”) who both separately recommended that FISI shareholders vote the BLUE proxy card FOR ALL four of the Company’s director nominees.
In its May 27, 2016 report, Egan-Jones stated:
- “We believe that it is in the best interest of shareholders to vote with Management using the Blue Proxy Card because the dissidents [Clover Partners] have made an insufficient case to warrant their election to the Company’s Board of Directors.”
Egan-Jones concluded that:
