Mercer International Inc. Announces Pricing of Private Offering of Senior Notes

NEW YORK, Jan. 31, 2017 (GLOBE NEWSWIRE) -- Mercer International Inc. (Nasdaq:MERC) (TSX:MERC.U) (the "Company") today announced the pricing of its previously announced offering of $225.0 million aggregate principal amount of 6.500% senior notes due 2024 (the "2024 Notes"). The 2024 Notes are being offered and sold to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act.

The 2024 Notes are being issued at a price of 100% of their principal amount. The net proceeds from the offering will be used, together with cash on hand, to redeem all of the Company’s currently outstanding 7.000% senior notes due 2019, of which an aggregate principal amount of $227.0 million is currently outstanding.

The offering of the 2024 Notes is expected to close on or around February 3, 2017, subject to the satisfaction of customary closing conditions.

The 2024 Notes have not been registered under the Securities Act, or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
