(NASDAQ:ASMB) (“Assembly” or the “Company”), a clinical-stage biotechnology company advancing a new class of oral therapeutic candidates for the treatment of hepatitis B virus (HBV) infection and novel oral live biotherapeutic candidates, which are designed to treat disorders associated with the microbiome, today announced the pricing of an underwritten public offering of 2,210,000 shares of its common stock to the public at $27.25 per share. The offering is expected to close on or about November 6, 2017, subject to the satisfaction of customary closing conditions. The gross proceeds to Assembly from this offering are expected to be $60,222,500, before deducting underwriting discounts and commissions and other estimated offering expenses payable by Assembly. Assembly has granted the underwriters a 30-day option to purchase up to an additional 331,500 shares of common stock at the offering price (less the underwriting discounts and commissions). Assembly intends to use the net proceeds from the sale of the common stock to fund clinical trials, nonclinical studies, research and development and for general corporate purposes.
Jefferies LLC and William Blair & Company, L.L.C. acted as joint bookrunners for the offering.
