NEW YORK--(BUSINESS WIRE)-- Kramer Levin Naftalis & Frankel LLP announced today the addition of two new corporate and transactional partners, Todd E. Lenson and Jordan M. Rosenbaum, to the law firm’s Corporate Department.
Mr. Lenson and Mr. Rosenbaum will continue to represent public companies, private equity funds and their portfolio companies, hedge funds, real estate investment trusts (REITs) and family offices and other family-owned businesses across all transactions, including mergers and acquisitions and securities offerings. Their clients range from S&P 500 companies to growing companies across a diverse group of industries and sectors, including energy, manufacturing, real estate, technology, media, sports and entertainment. Mr. Lenson will serve as Co-Chair of the firm’s Capital Markets and Public Companies practice.
Kramer Levin Managing Partner Paul S. Pearlman said, “Todd and Jordan are welcome additions to our already deep bench of legal talent-- both are proactive and entrepreneurial.” Howard Spilko, Co-chairman of Kramer Levin’s Corporate Department added, “Todd and Jordan bring added depth and breadth to our platform and complement our ability to service public companies and REITs in capital market transactions and public and private M&A, as well as advising corporate boards.”
Mr. Lenson has significant experience in mergers and acquisitions, capital market transactions, private equity and venture capital. He advises strategic and financial clients on public and private mergers, acquisitions, divestitures, going private transactions, leveraged buyouts, cross-border transactions, spinoffs, proxy contests, joint ventures and strategic alliances. He regularly represents issuers in a wide range of securities offerings, including initial public offerings, follow-on equity offerings and high-yield debt issuances. He also regularly advises boards of directors and C-level executives on transactional, executive compensation and corporate governance matters.
“I am attracted to Kramer Levin’s creative and collaborative platform and the opportunity to be at an international firm focused on the financial markets where I can continue to do sophisticated work for my clients,” said Mr. Lenson.
Mr. Rosenbaum’s practice focuses on capital markets and securities, mergers and acquisitions, private and public securities offering and corporate reorganizations.
“I’m excited to be joining Kramer Levin” added Mr. Rosenbaum. “I am looking forward to working with many highly-regarded and respected lawyers across the firm’s broad-based and large corporate department.”

Prior to joining Stroock, Mr. Rosenbaum was an associate at Shearman & Sterling LLP.
Mr. Lenson holds a B.S. from Cornell University and graduated, cum laude, with a J.D. from the University of Pennsylvania Law School, where he was a member of the Law Review. Mr. Rosenbaum holds a B.A. from Columbia College at Columbia University and a J.D. from New York University School of Law.
