Xtra-Gold's shareholders of record at the close of business on April 18, 2013 will be entitled to notice of the Meeting and to vote at the Meeting. In order for their votes to be counted at the Meeting, shareholders must deliver their proxy by no later than May 31, 2013 at 10:00 a.m. (Toronto time) or attend at the Meeting.
