JBS USA Acquires U.S. Operations of XL Foods


GREELEY, Colo., April 4, 2013 (GLOBE NEWSWIRE) -- JBS USA (the "Company" or "JBS"), a leading animal protein processor in the U.S., Canada and Australia and a wholly owned subsidiary of Brazil-based JBS S.A., today announced its intent to complete the transaction to purchase certain U.S. operations of XL Foods, effective April 8, 2013.

Upon closing, JBS USA will assume ownership of the following XL properties in the U.S.: a beef packing plant in Omaha, Neb., with the capacity to process 1,100 head of cattle per day and a beef packing plant in Nampa, Idaho, with the capacity to process 1,100 head of cattle per day. The beef processing plant in Nampa is currently idle and the Company has no immediate plans to reopen the facility.

Today's announcement completes the agreement between JBS and XL Foods, originally announced on Oct. 17, 2012.

On Jan. 14, 2013, the Company completed the acquisition of certain Canadian operations of XL Foods including: a beef packing plant in Brooks, Alta., a beef packing plant in Calgary, Alta., a feedlot in Brooks, Alta. and the adjacent farmland acreage supporting the feedlot operation. Under no scenario will JBS assume any of XL Foods' debt or liabilities.
