NEW YORK, July 29, 2013 (GLOBE NEWSWIRE) -- Sequential Brands Group, Inc. ("Sequential" or 'The Company") (OTC:SQBG) today announced that it has closed a private placement of its common stock that is exempt from registration under the Securities Act of 1933, as amended (the "Securities Act"), with a group of accredited investors. Sequential received gross proceeds of approximately $44 million from the sale of 8,000,000 shares of its common stock at a price of $5.50 per share. Sequential intends to use the net proceeds from the private placement for general corporate purposes, including to fund certain planned and other potential business acquisitions, and to pay the fees and expenses associated therewith. BofA Merrill Lynch acted as lead placement agent and Brean Capital, LLC acted as co-placement agent.
The common stock offered in the private placement has not been registered under the Securities Act, and may not be offered or sold without registration under the Securities Act or pursuant to an applicable exemption from such registration.
