MARIA BARTIROMO: WELCOME BACK TO OUR SPECIAL COVERAGE OF MARK HURD, CEO OF HEWLETT-PACKARD'S RESIGNATION TODAY, ABRUPTLY. WE ARE JOINED RIGHT NOW ON THE TELEPHONE BY MARC ANDREESSEN. HE IS A BOARD DIRECTOR OF HP AND THE FOUNDER OF NETSCAPE. MARC, THANK YOU VERY MUCH FOR CALLING IN ON THE PHONE. WE APPRECIATE IT.

MARC ANDREESSEN: HI, MARIA, THANK YOU.

BARTIROMO: LET ME ASK YOU THIS. YOU HAVE PUT TOGETHER A COMMITTEE TO FIND THE PERMANENT CEO. WE KNOW THAT THE CFO TAKING OVER IN AN INTERIM PERIOD WILL BE TEMPORARY. HOW QUICKLY DO YOU THINK THAT YOU CAN PUT A NEW CEO IN PLACE?

ANDREESSEN: YES, THAT'S RIGHT. CATHIE LESJAK, WHO HAS BEEN THE CEO OF THE COMPANY AND IS IN FACT A 24-YEAR VETERAN HAS AGREED TO OUR REQUEST THAT SHE SERVE AS INTERIM CEO. SHE HAS TAKEN HERSELF OUT OF THE RUNNING FOR PERMANENT CEO. WE WILL RUN A SEARCH AS FAST AS WE CAN, BUT INSURING WE GET THE BEST POSSIBLE CANDIDATE. WE WILL LOOK AT BOTH INTERNAL AND EXTERNAL CANDIDATES IN THAT PROCESS. WE HAVE JUST FORMED A COMMITTEE. SO WORK WILL BEGIN ON THIS IMMEDIATELY. BUT WE'RE GOING TO DIVE RIGHT INTO IT. AND FUNDAMENTALLY, YOU KNOW, WE'RE LOOKING FOR SOMEBODY WHO IS OUTSTANDING, WHO WE CAN PAIR UP WITH THIS TRULY GREAT COMPANY. THE COMPANY IS IN GREAT SHAPE, IT'S EXTREMELY WELL-POSITIONED FOR THE FUTURE. WE'RE EXECUTING ON THE STRATEGY. THE PERFORMANCE IS STRONG. AND SO WE'RE LOOK AT SOMEBODY WHO CAN BOTH MAINTAIN THAT LEVEL OF PERFORMANCE AND THEN BUILD ON IT.

BARTIROMO: SO YOU'RE LOOKING AT THE STRATEGY THAT MARK HURD PUT IN PLACE. WHAT WOULD YOU LIKE TO TELL INVESTORS AND SHAREHOLDERS RIGHT NOW WHO ARE WORRIED THAT PERHAPS THE STRATEGY CHANGES WITH THE NEW PERSON IN PLACE?

ANDREESSEN: YES, SO WE'LL COME BACK TO THAT TOPIC, OF COURSE, WHEN WE SELECT A NEW PERSON. BUT THE BOARD HAS A TREMENDOUS AMOUNT OF CONVICTION ON THE CURRENT STRATEGY. THE BOARD IN FACT WAS VERY HAPPY WITH MARC'S STRATEGY. THE BOARD WAS ALSO VERY HAPPY WITH MARK'S PERFORMANCE.AND FURTHERMORE, THE STRATEGY AND THE PERFORMANCE ARE DEEPLY RESPECTED AND EMBEDDED DEEP INTO THE COMPANY. YOU KNOW, THE COMPANY IS 300,000 PEOPLE WHO HAVE BEEN PURSUING THAT STRATEGY POUR THE PAST SEVERAL YEARS WITH MARK, AND BOTH THE STRATEGY AND THAT PERFORMANCE, WE'RE DETERMINED TO MAKE SURE THAT IT CONTINUES.

BARTIROMO: SO TELL US, THEN, EXACTLY WHAT -- WHERE MARK HURD WENT WRONG. IS THIS A PERSONAL AFFAIR? TELL US WHAT HAPPENED.

ANDREESSEN: YEAH, YOU KNOW, I THINK WE'VE KIND OF SAID EVERYTHING THAT WE WOULD LIKE TO SAY ON THAT. YOU KNOW, MARK HIMSELF YOU SAW IN THE RELEASE, MARK HIMSELF CONCEDES THAT THERE WERE A SET OF FACTS AND CIRCUMSTANCES THAT, YOU KNOW, LED TO, YOU KNOW, CERTAINLY VIOLATIONS OF THE COMPANY'S STANDARDS OF BUSINESS CONDUCT. AND THEN JUST IN GENERAL THE LEVEL OF SORT OF BEHAVIOR AND THE LEVEL OF CONDUCT THAT WE CERTAINLY EXPECT OF ALL EMPLOYEES. CERTAINLY THE CEO. AND SO IN LIGHT OF ALL THAT, WE FELT THAT THIS WAS A NECESSARY ACTION TO TAKE. VERY, VERY UNFORTUNATE. MARK IS AND WAS AT HP AN EXTRAORDINARY CEO. BUT UNFORTUNATELY A NECESSARY ACTION. AND FUNDAMENTALLY, I WOULD ULTIMATELY -- WE ULTIMATELY CONCLUDED THAT IN LIGHT OF THE FACTS AND CIRCUMSTANCES, IT WOULD BE IMPOSSIBLE FOR HIM TO BE EFFECTIVE IN THE JOB GOING FORWARD. IT'S ONE OF THE TOUGHEST DECISIONS ANY OF HAVE EVER BEEN INVOLVED IN. BUT IT WAS COMPLETELY NECESSARY.

BARTIROMO: I'M SURE IT WAS ONE OF THE TOUGHEST DECISIONS FOR YOU. WHERE WERE NOW IN TERMS OF THE DECISION-MAKING? WHERE WERE YOU IN TERMS OF PUSHING THE BUTTON IN TERMS HE'S GOT TO GO. WAS THIS UNANIMOUS ON THE BOARD?

ANDREESSEN: YES, THERE ARE TEN BOARD MEMBERS AND THE DECISION WAS UNANIMOUS. AND FURTHERMORE, USE SAW IN THE ANNOUNCEMENT TODAY, MARK AGREES.

BARTIROMO: LET ME ASK YOU THIS. THE WOMAN WHO INITIAL WILL SENT THE LETTER IN JUNE, SHE SAID THERE WAS SEXUAL HARASSMENT. AND THEN DID SHE TAKE BACK THAT CLAIM AND SAY NO THERE WASN'T SEXUAL HARASSMENT?

ANDREESSEN: YOU KNOW, WE'RE NOT GOING TO SPEAK ON HER BEHALF OR ANYBODY ELSE'S BEHALF. WHAT WAY CAN TELL YOU IS WE THOROUGHLY INVESTIGATED HER CLAIMS AND FURTHER THE INVESTIGATION OVER TIME THROUGH INITIALLY INVESTIGATING HER CLAIMS, THEN THESE OTHER FACTS AND CIRCUMSTANCES CAME TO LIGHT. AND WE I WANT TO BE VERY CLEAR. WE MADE OUR DECISION ON THE FACTS AND CIRCUMSTANCES THAT CAME TO LIGHT IN THE INVESTIGATION, NOT SPECIFICALLY HER ALLEGATIONS. AND IN FACT WE SAID IN THE RELEASE AND OF COURSE CONTINUE TO SAY THAT IN FACT WE FOUND NO EVIDENCE OF SEXUAL HARASSMENT PER SE.

BARTIROMO: SO THE VIOLATIONS WERE REALLY OF MISLABELING EXPENSES? IS THAT WHAT YOU'RE SAYING?

ANDREESSEN: THERE WAS A FUNDAMENTAL CONFLICT OF INTEREST. THERE IS A VERY, VERY FIRM HP POLICY ON PERSONAL CONFLICTS OF INTEREST. AND THERE WERE AS WE DISCUSSED, AS WE DESCRIBED, YOU KNOW, YES, THERE WERE ISSUES WITH EXPENSES THAT HAD THE EFFECT OF ESSENTIALLY OBSCURING THE PERSONAL RELATIONSHIP AND THE PATTERN AND BEHAVIOR OVER A SIGNIFICANT PERIOD OF TIME AND SORT OF THE OTHER ASPECTS OF IT MADE OUR DECISIONS VERY, VERY CLEAR. WE CAN'T, THIS COMPANY, WE HAVE TO HAVE A CEO WHO IS ABLE TO STAND IN FRONT OF THE EMPLOYEES AND LIVE UP TO THE VALUES AND THE STANDARDS OF THE ORGANIZATION AND THAT'S REQUIRED, CERTAINLY IN THIS COMPANY THAT IS REQUIRED FOR THE CEO TO BE EFFECTIVE AND OUT OF THAT CAME OUR CONCLUSION.

BARTIROMO: MARC, WHAT ABOUT THE INSIDERS? HOW LIKELY IS IT THAT YOU ARE GOING TO CHOOSE AN INSIDER TO RUN THIS COMPANY AS OPPOSED TO AN OUTSIDER?

ANDREESSEN: YOU KNOW WE ARE NOT PREJUDGING THAT IN ANY WAY, WE HAVE A VERY, VERY TALENTED AND DEEP BENCH IN THIS COMPANY. MARK ACTUALLY, MARK IS RESPONSIBLE FOR BRINGING A NUMBER OF EXTRAORDINARY SHARP PEOPLE INTO SENIOR ROLES HERE AS WELL AS A WHOLE BUNCH OF PEOPLE WHO HAVE BEEN HERE FOR A LONGER PERIOD OF TIME. THEY ARE OUTSTANDING AT RUNNING THEIR BUSINESSES, THEY ARE DOING A FANTASTIC JOB AND CERTAINLY THERE IS A NUMBER OF THEM THAT COULD BE VERY CREDIBLE CANDIDATES BUT WE ARE NOT YET AT A POSITION TO SAY ANYTHING ABOUT INSIDE OR OUTSIDE. WE ARE JUST GOING TO TAKE ALL CANDIDATES SERIOUSLY BOTH INSIDE AND OUTSIDE AND NOT PREJUDGE IT.

BARTIROMO: AND YOU RENEWED HURD'S CONTRACT WHEN? THE CONTRACT WAS UP A YEAR AGO IS THAT RIGHT?

ANDREESSEN: YOU KNOW I'M NOT REALLY, AS A BOARD MEMBER, I'M NOT GOING TO INTO THE DETAILS OF THAT RIGHT NOW, BUT WE WOULD BE HAPPY TO FOLLOW UP IF PEOPLE ARE INTERESTED.
